As per the discussion in the meeting today, WillBuild Construction Company shall be your (‘Client’) exclusive ‘Contractor’ for the three-story building on the [A] square foot land in [location, city]. For the project to be completed smoothly during these uncertain times where lumber costs keep fluctuating, this ‘time and materials contract’ letter is being forged.

The contractor shall provide all materials, equipment, transportation, services, tools, and labor to [location] in a responsible and workmanlike manner to the satisfaction of the Client for the estimated price of X$, and not exceed Y$, regardless of fluctuation of prices.

This estimate of ‘not to exceed’ rates is provided in the attachment. The Contractor shall not charge more than ‘not to exceed rate’ even if the performance of this Contract requires the services of subcontractors, equipment, supplies, or materials. Once the contractor makes all of these payments, a written document shall be submitted as proof. It shall also be mentioned that In order to ensure that our workers remain in proper health, their work hours shall be [B hours] per day.

Client upon submission of proper invoices by the Contractor of the prices specified in the Contract for services rendered, except any discount provided, will pay the full amount within thirty days.

This time and materials contract shall be considered effective on October 20, 20xx as the project construction begins. It shall be considered expired upon full payment and signatures of both parties. However, its termination will also require a written document with signatures from both parties: ‘Client’ and ‘Contractor’.

For the project to be completed smoothly during these uncertain economic conditions as well as the time it will take for project completion, this ‘time and materials contract’ letter is being forged.

The contractor shall provide all materials, equipment, services, tools, transportation, especially labor to [location] in a responsible and workmanlike manner to the satisfaction of the ‘Client’ for the estimated price of X$, and not exceed Y$, regardless of all variables. This estimate of ‘not to exceed’ rates is provided in the attachment.
